Terms of Service for RE:COM (Ricochet Engine: Combat Operation Module)

Ownership: Imperium Interactive LLC ("Imperium Interactive") owns all intellectual property rights to the unique features and tools developed by Imperium Interactive that are included in the RE:COM. The RE:COM is a proprietary software module developed by Imperium Interactive, and any modification, rebranding, or distribution of the RE:COM or its unique features and tools is strictly prohibited without explicit written permission from Imperium Interactive.



Use Restrictions: You may not sublicense or distribute the RE:COM or any of its unique features and tools to any third party without explicit written permission from Imperium Interactive.



Pricing: The price of the RE:COM is determined by Imperium Interactive and is subject to change. By purchasing the RE:COM, you agree to pay the specified price for the license to use the RE:COM. You may not modify, alter, or reverse-engineer the pricing structure or attempt to obtain the RE:COM at a price other than the one specified by Imperium Interactive.



Developer Representation: You may not falsely claim to be a member of Imperium Interactive or any affiliated developer team in connection with the use or distribution of the RE:COM. You may not use the RE:COM in any project that is falsely represented as an official Imperium Interactive project.


Legal Consequences: Violation of any of these terms and conditions may result in the termination of your license to use the RE:COM, as well as legal action taken by Imperium Interactive to protect their intellectual property rights.



Whitelist and Detection: Imperium Interactive maintains a whitelist of authorized users of the RE:COM and reserves the right to detect and investigate any unauthorized distribution or use of the module. Any attempt to redistribute or use the RE:COM without explicit written permission from Imperium Interactive will be considered a violation of these terms and conditions and may result in legal action.



Purchasing Agreement: By purchasing the RE:COM, you agree to these terms and conditions. You acknowledge that any violation of these terms and conditions may result in the termination of your license to use the RE:COM, as well as legal action taken by Imperium Interactive.



Redistribution Restrictions: You may not distribute the RE:COM or any of its unique features and tools without explicit written permission from Imperium Interactive. If you choose to distribute the RE:COM, you must purchase a separate license for each individual system it is distributed to. If you distribute the RE:COM without purchasing the necessary licenses, you will be held liable for the cost of those licenses, as well as any legal action taken by Imperium Interactive.


By purchasing and using the RE:COM, you affirm that you have read, understood, and agreed to be bound by these terms and conditions.

Imperium Interactive Contract Agreement and Terms of Service

1. Services

Imperium Interactive agrees to provide contracted developer services ("Services") to the Client as an independent contractor. The Services shall be performed in a professional manner, following industry standards and client requirements.


2. Ownership of Artwork

Upon full and timely payment for the Services rendered, the ownership of the contract work created by Imperium Interactive shall be transferred to the Client. Until full payment is received, Imperium Interactive retains all rights and ownership of the artwork.


3. Payment Terms

The following payment terms shall apply:

- Payment Amount: The Client agrees to pay Imperium Interactive the agreed-upon amount for the Services as specified in the project agreement or statement of work.

- Payment Schedule: The payment schedule shall be outlined in the project agreement or as mutually agreed upon by both parties.

- Non-Payment: In the event of non-payment or failure to meet the agreed payment terms, Imperium Interactive reserves the right to take appropriate action, including withholding delivery of completed artwork, pursuing legal remedies, or terminating the project.


4. Communication and Collaboration

Both parties shall maintain open and regular communication throughout the project duration to ensure effective collaboration. Deliverables and revisions shall be discussed and agreed upon by both parties.


5. Confidentiality

Both parties agree to keep any confidential or proprietary information shared during the course of the project confidential. This includes, but is not limited to, project details, artwork concepts, and technical specifications.


6. DMCA Notice and Game Takedown

In the event of non-payment or a breach of the payment terms, Imperium Interactive reserves the right to take appropriate action, including issuing a DMCA notice to the Client, requesting the removal of the artwork from their game, and pursuing legal action to protect Imperium Interactive's rights, including seeking a game takedown if necessary.


7. No Further Changes

Once this Agreement is agreed upon and executed by both parties, no further changes or modifications shall be made to the arrangement without the written consent of both Imperium Interactive and the Client.


8. Dispute Resolution

In the event of any disputes or disagreements arising from this Agreement, both parties agree to make reasonable efforts to resolve the matter amicably through good-faith negotiations. If a resolution cannot be reached, either party may pursue legal remedies available under the governing jurisdiction.


9. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.


10. Termination of Services

Imperium Interactive reserves the right to terminate the provision of Services at any time, for any reason, without incurring any consequences or liabilities. In such cases, the Client shall be notified in writing of the termination, and any outstanding payment obligations up to the termination date shall still apply. Upon termination, the ownership rights of the artwork created by Imperium Interactive shall remain as stated in Section 2 of this Agreement.


11. Refunds

Once the contracted work is completed and delivered to the Client via email, Discord, or any other communication method, refunds will no longer be eligible. However, the Client may request changes to the final work, which will be considered and addressed accordingly.


12. Agreement Acceptance

By entering into any contract with Imperium Interactive, the Client agrees to these terms and conditions. The Client will be informed of these terms prior to the agreement, and their acceptance—whether through written, electronic, or verbal communication—constitutes a binding agreement. This acceptance is non-refutable and confirms the Client's understanding and agreement to all the terms outlined in this document.


Agreement Confirmation

The Client acknowledges and agrees to the terms of this License by agreeing to any contract that involves or is created by Imperium Interactive or any of its developers. This constitutes acceptance of the License and understanding of the rights and responsibilities outlined herein.

By agreeing to this contract, the client accepts all the terms listed above.
